Terms of Service

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company, you confirm you are authorized to bind it.

You are responsible for the accuracy of your account information, for keeping your password confidential, and for all activity under your account and workspace. Notify us immediately of any unauthorized use.

2. The Service

QRP lets you create static and dynamic QR codes, edit dynamic destinations after printing, host pages such as digital business cards and files, customize QR designs, organize codes in folders and workspaces, and view scan analytics.

Static QR codes encode their content directly and keep working independently of your account. Dynamic QR codes and hosted pages depend on an active account and plan; if your account is closed or your plan lapses, they may stop resolving.

We may improve, change or discontinue features. We will give reasonable notice of material changes that negatively affect paid plans.

3. Workspaces and team members

Workspace owners control membership, roles (owner, editor, viewer) and the content of the workspace. Owners are responsible for the people they invite and for removing access when appropriate.

4. Plans, billing and renewals

Some features require a paid plan. Prices, limits and included add-ons are shown at the time of purchase. Subscriptions renew automatically for the same period unless cancelled before the renewal date.

Payments are processed by a third-party payment provider. Taxes may apply. Price changes apply only at your next renewal and never alter the terms of a period already paid.

If you downgrade, codes above your new plan's limits may be paused (not deleted) until you upgrade or reduce usage. Fees are non-refundable except where required by law or stated otherwise in writing.

Plans may include fair-use limits on scans, page views, storage and bandwidth. If usage substantially exceeds your plan, we will contact you before limiting service.

5. Acceptable use

You agree not to use the Service to: distribute malware or phishing; deceive people about where a QR code leads; host illegal, infringing, hateful, sexually exploitative or violent content; send spam; violate privacy or consumer-protection laws; or interfere with or overload the Service.

You may not resell, sublicense or white-label the Service without a written agreement, nor scrape, reverse engineer or attempt to bypass security or usage limits.

We may scan destinations and uploaded files, and may disable any QR code, page or account that violates these Terms or puts users at risk, with or without notice where necessary to prevent harm.

6. Your content

You keep ownership of the content you upload or link ("Your Content"). You grant us a worldwide, non-exclusive license to host, store, reproduce and display Your Content only as needed to operate and improve the Service.

You confirm you have the rights to Your Content and that it does not violate any law or third-party rights. You are responsible for backups of important files.

7. Our intellectual property

The Service, software, design, the QR Code + Pages name, the QRP logo and related brand assets belong to ALTERNO Agency or its licensors. These Terms do not grant you any right to use our trademarks. QR codes you generate may be used freely by you.

8. Scan data and privacy

When people scan your dynamic codes we record limited analytics (time, approximate location derived from IP, device type). You are responsible for informing your audience where required by law. Our handling of personal data is described in our Privacy Policy.

9. Third-party services

QR codes may lead to third-party websites and the Service relies on third-party providers (hosting, payments, email, sign-in). We are not responsible for third-party sites or services you choose to use.

10. Suspension and termination

You may close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal requirements or risk to the Service. After termination, dynamic codes stop resolving and we may delete Your Content after a reasonable period.

11. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted availability or that every scanner app will read every design; test codes before printing.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost data or printing costs. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

13. Indemnity

You agree to defend and indemnify ALTERNO Agency against claims arising from Your Content, your QR destinations or your breach of these Terms.

14. Governing law

These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable United States federal law. Disputes will be resolved in the competent courts of Puerto Rico, unless mandatory law provides otherwise.

15. Changes to these Terms

We may update these Terms. We will post the new version with an updated date and, for material changes, notify account owners by email or in the dashboard. Continued use after the effective date means you accept the changes.
